1. INTRODUCTION
Welcome to ArasFlow ("Platform", "Website", "Application", "Service"), a ticketing, event discovery, event management, venue listing, and organizer enablement platform owned and operated by The Aras Music Festival (ARMF), a sole proprietorship registered in India.
These Terms and Conditions ("Terms") govern your access to and use of ArasFlow, including all websites, mobile applications, products, services, features, content, ticket purchases, event listings, organizer accounts, venue listings, and related offerings made available through the Platform.
By accessing, browsing, registering an account, purchasing tickets, listing events, creating organizer profiles, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
If you do not agree with these Terms, you must immediately discontinue use of the Platform.
2. DEFINITIONS
For the purpose of these Terms:
"ArasFlow" refers to the platform and all associated services operated by The Aras Music Festival (ARMF).
"ARMF", "We", "Us", or "Our" refers to The Aras Music Festival, a sole proprietorship registered in India.
"User" means any person accessing or using the Platform.
"Buyer" means a User purchasing or attempting to purchase tickets.
"Organizer" means any individual, company, venue, promoter, institution, artist representative, event manager, or entity listing, promoting, or selling tickets through the Platform.
"Event" means any concert, festival, conference, seminar, party, workshop, exhibition, gathering, competition, performance, or activity listed on the Platform.
"Venue" means the location where an Event is conducted.
"Ticket" means a valid digital or physical admission credential issued through ArasFlow.
"Platform Fees" means convenience fees, service fees, processing fees, technology fees, or any other fees charged by ArasFlow.
3. NATURE OF THE PLATFORM
ArasFlow operates as an independent technology platform that facilitates:
- Event discovery
- Event promotion
- Ticket sales
- Organizer onboarding
- Venue listings
- Event marketing tools
- QR-based ticket validation
- Event management services
- Future marketplace services
ArasFlow acts solely as an intermediary between Organizers and Buyers unless explicitly stated otherwise.
Except where ArasFlow is expressly identified as the Organizer of an Event:
- ArasFlow is not the Event Organizer.
- ArasFlow does not control event execution.
- ArasFlow does not control venue operations.
- ArasFlow does not control artist participation.
- ArasFlow does not control security arrangements.
- ArasFlow does not control event quality.
Any contract relating to attendance of an Event exists directly between the Buyer and the Organizer.
4. ELIGIBILITY
To use the Platform:
- You must be at least 18 years old.
- You must possess legal capacity to enter into contracts.
- You must provide accurate and complete information.
- You must comply with all applicable laws and regulations.
ArasFlow reserves the right to suspend or terminate accounts that violate these requirements.
5. USER ACCOUNTS
Users may be required to create an account to access certain services.
You agree that:
- All information provided is accurate.
- Login credentials remain confidential.
- You are responsible for all activity under your account.
- You will immediately notify ArasFlow of unauthorized access.
ArasFlow reserves the right to suspend or terminate accounts involved in fraud, abuse, or suspicious activity.
6. EVENT LISTINGS
Organizers are solely responsible for:
- Event descriptions
- Event schedules
- Venue information
- Pricing information
- Age restrictions
- Event permissions
- Licenses and approvals
- Safety compliance
ArasFlow does not independently verify every listing and cannot guarantee the accuracy of information supplied by Organizers.
Users should independently verify critical event information before attendance.
7. TICKET PURCHASES
A ticket purchase becomes valid only when:
- Payment is successfully processed.
- A valid booking confirmation is issued.
- A ticket reference number is generated.
Tickets remain subject to:
- Event capacity
- Organizer approval requirements
- Applicable laws
- Venue restrictions
ArasFlow reserves the right to cancel transactions suspected of fraud, abuse, unauthorized resale, or payment irregularities.
8. PRICING AND FEES
Ticket prices displayed on the Platform may include:
- Base ticket price
- Platform fee
- Convenience fee
- Applicable taxes
- Additional event-specific charges
All fees displayed during checkout are deemed accepted upon completion of payment.
Platform fees are generally non-refundable except where required by law or specifically approved by ArasFlow.
Fee Display Models
ArasFlow may support multiple pricing models, including:
- Buyer Pays Platform Fee;
- All-Inclusive Pricing (where Platform Fees are included within the ticket price); and
- Other pricing structures introduced by ArasFlow from time to time.
Where an Organizer chooses an All-Inclusive Pricing model, Platform Fees may be absorbed into the displayed ticket price and may not appear as a separate charge during checkout.
The pricing model applicable to an Event shall be displayed on the Event page and during the checkout process.
By completing a purchase, Users acknowledge and accept the pricing structure applicable to the selected Event.
9. DIGITAL TICKETS AND QR CODES
Tickets issued through ArasFlow may contain:
- QR Codes
- Booking IDs
- Digital credentials
- Security verification systems
The ticket holder is responsible for protecting ticket information.
Any duplicated, tampered, altered, forged, copied, or fraudulently obtained ticket may be invalidated without refund.
Possession of a ticket does not guarantee entry if:
- Venue capacity is exceeded due to force majeure.
- The ticket has already been scanned.
- The ticket was acquired unlawfully.
- Security personnel deny entry for valid reasons.
10. TICKET TRANSFERS
Unless otherwise restricted by an Organizer:
- Tickets purchased through ArasFlow are transferable until twenty-four (24) hours before the scheduled start time of the Event.
Transferred tickets remain subject to:
- Event restrictions
- Identity verification requirements
- Venue policies
ArasFlow reserves the right to suspend transfer privileges for specific events.
Unauthorized commercial resale may result in cancellation of tickets and suspension of accounts.
11. EVENT CHANGES
Organizers may modify:
- Event schedules
- Event dates
- Event venues
- Artist lineups
- Event formats
- Seating arrangements
ArasFlow shall make reasonable efforts to communicate such changes but does not guarantee immediate notification.
Users are responsible for checking Event updates before attendance.
12. EVENT CANCELLATION
Event cancellation decisions are made by the Organizer unless ArasFlow is the Organizer.
Where an Event is cancelled:
- Refund eligibility shall be determined in accordance with the applicable Refund and Cancellation Policy.
- ArasFlow may facilitate refunds on behalf of Organizers.
- ArasFlow is not liable for losses relating to travel, accommodation, or other incidental expenses.
13. PROHIBITED ACTIVITIES
Users shall not:
- Use automated purchasing tools.
- Use bots or scripts.
- Circumvent ticket limits.
- Manipulate pricing.
- Engage in fraudulent transactions.
- Submit false information.
- Attempt unauthorized access.
- Distribute malware.
- Abuse customer support personnel.
- Infringe intellectual property rights.
- Harass other Users.
- Engage in unlawful activity.
Violation may result in immediate suspension without prior notice.
14. FRAUD PREVENTION
ArasFlow reserves the right to:
- Verify user identity.
- Request government-issued identification.
- Hold suspicious transactions for review.
- Cancel fraudulent bookings.
- Report suspected criminal activity to authorities.
Fraudulent chargebacks may result in permanent account termination and legal action.
15. INTELLECTUAL PROPERTY RIGHTS
All content available on ArasFlow, including but not limited to logos, trademarks, brand names, designs, website layouts, user interfaces, source code, graphics, images, videos, text, audio content, event data, and platform technology, are owned by or licensed to The Aras Music Festival (ARMF) and are protected under applicable intellectual property laws.
Users shall not copy, reproduce, republish, modify, reverse engineer, distribute, sell, license, or exploit any Platform content without prior written permission from ARMF.
The trademarks "The Aras Music Festival", "ARMF", "ArasFlow", associated logos, and branding elements shall remain the exclusive property of ARMF and may not be used without authorization.
16. ORGANIZER RESPONSIBILITIES
Every Organizer using ArasFlow agrees that they are solely responsible for event planning and execution, venue compliance, artist agreements, government permissions, music licenses, public performance licenses, safety arrangements, crowd management, security deployment, alcohol permits, food permits, fire safety compliance, local authority approvals, tax obligations, and consumer law compliance.
The Organizer further warrants that all information provided on the Platform is accurate, lawful, and non-misleading.
ArasFlow shall not be responsible for verifying every legal approval associated with an Event.
17. ORGANIZER INDEMNIFICATION
Organizers agree to fully defend, indemnify, and hold harmless ArasFlow, ARMF, its owners, employees, contractors, affiliates, and representatives against any claims, losses, liabilities, damages, penalties, expenses, or legal proceedings arising from event cancellation, postponement, venue disputes, artist no-shows, misrepresentation, injury claims, death claims, property damage, regulatory violations, licensing violations, intellectual property infringement, copyright infringement, trademark infringement, public performance disputes, tax liabilities, or customer disputes arising from Event execution.
This indemnification obligation shall survive termination of the Organizer's account.
18. USER-GENERATED CONTENT
Users and Organizers may submit reviews, comments, images, videos, event content, venue information, or promotional materials.
By submitting such content, Users grant ArasFlow a worldwide, non-exclusive, royalty-free license to use, display, distribute, modify, reproduce, and promote such content in connection with Platform operations.
Users warrant that they possess all necessary rights to upload such content.
ArasFlow reserves the right to remove content at its sole discretion.
19. PLATFORM AVAILABILITY
ArasFlow aims to maintain uninterrupted service but does not guarantee that the Platform will always be available, error-free, or free from interruptions or technical issues.
Scheduled maintenance, upgrades, third-party failures, or force majeure events may temporarily affect availability.
20. PAYMENT PROCESSING
Payments made through ArasFlow are processed through authorized third-party payment gateways.
ArasFlow does not directly store complete payment card information.
Users acknowledge that payment processing services may be governed by separate terms and conditions imposed by payment providers.
ArasFlow shall not be liable for failures caused by banking networks, payment gateways, UPI systems, card networks, or financial institutions.
21. ORGANIZER PAYOUTS
For events listed by Organizers:
- Ticket revenue may be held by ArasFlow until the Event has concluded successfully.
- Organizer payouts shall generally be released within two (2) to three (3) business days after successful completion of the Event.
- Applicable Platform Fees, penalties, chargebacks, refunds, and adjustments may be deducted prior to payout.
ArasFlow reserves the right to delay payouts where fraud is suspected, refund disputes exist, regulatory inquiries are pending, or event compliance concerns arise.
Organizer payout timelines may vary depending on banking systems and verification requirements.
22. FUTURE SERVICES
ArasFlow may introduce additional services including membership programs, subscription plans, premium organizer tiers, wallet systems, reward credits, loyalty programs, event merchandise, food and beverage integrations, venue services, vendor marketplaces, ticket exchanges, and waitlists.
Use of future services may be governed by additional terms, which shall become binding upon acceptance.
23. LIMITATION OF LIABILITY
To the fullest extent permitted by law, ArasFlow, ARMF, its owner, employees, contractors, partners, and affiliates shall not be liable for event cancellations, postponements, venue issues, artist changes, travel expenses, accommodation expenses, missed opportunities, business losses, reputation losses, data loss, or any indirect, consequential, incidental, or punitive damages.
In any circumstance, the maximum aggregate liability of ArasFlow shall not exceed the amount paid by the User for the affected ticket or transaction.
24. ASSUMPTION OF RISK
Attendance at Events may involve inherent risks including loud sound exposure, crowded environments, physical activities, weather conditions, security incidents, and health risks.
Users voluntarily assume all such risks associated with attendance.
ArasFlow shall not be liable for injuries, losses, damages, theft, or incidents occurring during an Event unless directly caused by ARMF acting as the Organizer.
25. FORCE MAJEURE
ArasFlow shall not be liable for any delay, interruption, failure, cancellation, or inability to perform obligations resulting from circumstances beyond reasonable control, including natural disasters, floods, earthquakes, pandemics, epidemics, government actions, internet outages, power failures, civil unrest, strikes, terrorist acts, war, or transportation disruptions.
Such events may affect ticket validity, refund timelines, and Platform operations.
26. ACCOUNT SUSPENSION AND TERMINATION
ArasFlow may suspend or terminate any account at its sole discretion where fraud is suspected, abuse occurs, Terms are violated, unlawful activity is detected, or Platform security is threatened.
Termination may occur without prior notice where necessary to protect Users, Organizers, or the Platform.
27. GOVERNING LAW
These Terms shall be governed and interpreted in accordance with the laws of India.
Any legal dispute arising from these Terms shall be subject to Indian law irrespective of conflict-of-law principles.
28. DISPUTE RESOLUTION
The parties shall first attempt to resolve disputes through good-faith negotiations.
If resolution cannot be achieved, disputes shall be submitted to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The seat and venue of arbitration shall be Bareilly, Uttar Pradesh, India.
Proceedings shall be conducted in English.
29. JURISDICTION
Subject to arbitration requirements, courts located in Bareilly, Uttar Pradesh shall have exclusive jurisdiction over disputes relating to the Platform.
30. MODIFICATIONS TO TERMS
ArasFlow reserves the right to modify these Terms at any time.
Updated versions shall become effective upon publication on the Platform.
Continued use of the Platform after publication constitutes acceptance of the revised Terms.

32. ENTIRE AGREEMENT
These Terms, together with the Privacy Policy, Refund & Cancellation Policy, Organizer Agreement, and any additional Platform policies, constitute the entire agreement between Users and ArasFlow regarding use of the Platform.
By accessing or using ArasFlow, you acknowledge that you have read, understood, and agreed to these Terms and Conditions in their entirety.
